Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Icodeio ("Icodeio," "we," "us," or "our," the "Service"), including the website, the client dashboard, and any related APIs. By creating an account, submitting a build request, or purchasing a product, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old to create an account or use the Service.

You may register with an email address and password, or by signing in with a supported third-party provider (currently Google or GitHub). You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access to your account.

You agree to provide accurate registration information (including your name and a working email address) and to keep it up to date, since order confirmations, download-related notices, and account security notices are sent to the email address on file.

Administrator and Super Administrator accounts require two-factor authentication (TOTP) in addition to a password, and are subject to additional internal access controls not described here.

Icodeio sells digital products — source-code projects, AI Build Kits, templates, architecture packs, documentation, and bundles. Each product may be offered in multiple editions (for example, Single Developer, Small Team, Enterprise, or Lifetime), and each edition specifies which files are included and what license type applies.

Purchasing an edition grants you a license to use the included files under the terms of that edition's license type. It does not transfer ownership of the underlying code, content, or intellectual property to you (see Section 7).

Prices, edition contents, and applicable discounts are calculated and validated on our servers at the time of purchase; a price or discount shown to you that has changed or expired before checkout completes will not be honored.

Some editions include a limited period of free updates ("update access"); after that period, you keep permanent access to the version of the product that was current when you purchased it, but new releases published after your update-access window ends are not included unless you purchase again or upgrade.

Once your payment is verified, we grant you an entitlement to download the files included in your edition. Every download is served through a short-lived, individually-signed link generated at the time of the request — we do not provide permanent or publicly-accessible download URLs for purchased files.

You may re-download files covered by your entitlement at any time from your dashboard, subject to the update-access window described in Section 3 and any per-asset download limits we may apply to deter abuse.

You may not redistribute, resell, sublicense, or make purchased files publicly available beyond what your edition's license type permits.

In addition to the product catalog, you may submit a request for custom software to be built for you, describing your requirements and a desired timeline.

Submitting a request does not obligate us to accept it. We review each request and may accept it (specifying a downpayment amount and confirming whether your proposed timeline is realistic), reject it, or ask for more information.

If a request is accepted, work begins only after we receive your downpayment, processed through the same payment method described in Section 6. A downpayment is a payment toward custom development services, not a purchase of a catalog product, and does not itself grant a product license or entitlement.

Final pricing, scope, and delivery timelines for custom work are agreed between you and Icodeio during the review process and are not fixed by these Terms.

Checkout is processed through PayPal. We do not receive or store your full payment card or bank details — PayPal handles that directly.

All charges are in the currency and amount shown at checkout and are calculated server-side; we do not accept a client-supplied price under any circumstances.

Because downloading a Source Code product gives you full access to that code, purchases of Source Code editions are only eligible for a partial refund — never a full refund of the order. Purchases of AI Build Kits, Documentation, Templates, Architecture packs, and Bundles remain eligible for a full refund. Whether a partial refund is granted at all, and in what amount, remains at Icodeio's discretion, including in cases of accidental duplicate purchase, a defective or materially misdescribed product, or a cancelled custom build request. To request a refund, contact us at support@icodeio.com.

This policy does not limit any refund, withdrawal, or cancellation right you may have under mandatory consumer-protection law in your jurisdiction, which applies regardless of what this section says.

Unless a product listing says otherwise, Icodeio or the respective product's author retains all intellectual property rights in the products, source code, documentation, and other content made available through the Service. Purchasing an edition grants you a license under Section 3 — it does not assign or transfer ownership of that intellectual property to you.

The Icodeio name, logo, and branding are the property of Icodeio and may not be used without our prior written permission.

Only clients who have completed a verified purchase of a product may submit a review for that product. Reviews must be honest, based on genuine use of the product, and must not contain unlawful, abusive, or misleading content. We may moderate, decline to publish, or remove a review that violates this section.

You agree not to: circumvent, disable, or interfere with security features, download restrictions, or entitlement checks; access the Service using automated means in a way that places undue load on it or attempts to bypass rate limits or bot-verification measures; redistribute or resell purchased files beyond your license; upload unlawful, infringing, or malicious content through support tickets, reviews, or build requests; or use the Service to build or distribute anything that infringes another party's rights.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if required to do so by law. You may stop using the Service at any time. Suspension or termination does not entitle you to a refund for entitlements already granted, except as described in Section 6.

The Service and all products are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law.

To the fullest extent permitted by law, Icodeio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Nothing in this section limits liability that cannot lawfully be limited or excluded (for example, liability for fraud or, where applicable, gross negligence).

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date below and, where appropriate, notify you (for example, by email or an in-app notification). Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of Kenya, without regard to its conflict-of-laws principles, and any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, except where mandatory local consumer-protection law gives you the right to bring a claim elsewhere.
